1. Agreement

These Terms and Conditions (“Terms”) govern your use of Lumi Wellness Portal, including the mobile applications and any related web or telehealth services offered by LUMISOFT (operated by E-Clinics International LLC) (“we,” “us,” “our”). By accessing or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Eligibility and account responsibility

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You may not share your account with unauthorized persons.

3. Service description

The portal may include account management, appointment scheduling, video or audio consultations, messaging with care teams, access to health records and documents, integrations (such as Apple Health where you opt in), notifications, and related tools. Specific features may change over time.

4. Not for emergencies

Lumi Wellness Portal is not an emergency service. If you believe you are experiencing a medical emergency, call your local emergency number immediately.

5. Medical disclaimer

Information in the app (including any AI-assisted or educational content) is for informational purposes only. It does not replace professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified health provider with any questions about a medical condition.

6. Acceptable use

You agree not to:

• Attempt to gain unauthorized access to the service, other users’ data, or our systems.
• Use the service for unlawful, harassing, fraudulent, or abusive purposes.
• Upload malware or content that infringes others’ rights or violates applicable law.
• Interfere with or disrupt the security or performance of the service.

7. Third-party services

The service may rely on third parties (for example app stores, telehealth video providers, maps, push notification services, or hosting). Their terms and privacy policies may apply in addition to ours. See our Privacy Policy for more detail on subprocessors and data practices.

8. Intellectual property

The service, branding, software, and content we provide are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer except as permitted by law or with our written consent.

9. Changes to the service and terms

We may modify, suspend, or discontinue any part of the service to improve safety, comply with law, or for operational reasons. We may update these Terms; we will post the updated version and revise the “Last updated” date. Continued use after changes constitutes acceptance, where permitted by law.

10. Disclaimer of warranties

To the fullest extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, we and our affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the service. Our total liability for claims arising from the service is limited to the greater of the amount you paid us for the service in the twelve (12) months before the claim or one hundred U.S. dollars (USD $100), unless applicable law requires otherwise.

12. Indemnification

You agree to defend, indemnify, and hold harmless LUMISOFT, E-Clinics International LLC, and their officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the service, your violation of these Terms, or your violation of others’ rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles, except where preempted by federal law. Courts located in Illinois shall have exclusive jurisdiction over disputes arising from these Terms or the service, unless applicable law requires otherwise.
